Terms of Service

Effective Date: August 25, 2026

These Terms of Service (the Terms) govern access to and use of the Tracendra website, customer services, downloadable software, APIs, documentation, licensing services, support, and related offerings (collectively, the Service). Tracendra is currently jointly owned and operated by Craig Gebo and Eric Gebo as individuals, without a separate incorporated entity. In these Terms, Tracendra, we, us, or our refers to Craig Gebo and Eric Gebo operating under the Tracendra name.

1. Acceptance of Terms

By accessing or using any part of the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not access or use the Service.

If you accept these Terms for an organization, you represent that you have authority to bind that organization. In that case, you and Customer refer to the organization. Where account creation or checkout is offered, continuing through that flow also indicates acceptance of these Terms.

2. Eligibility

You must be legally capable of entering into this agreement. The Service is intended primarily for professional, business, software-development, infrastructure, and cybersecurity use. You may not use the Service if applicable law prohibits you from doing so.

3. Description of the Service

Tracendra provides software and services for AI-agent security monitoring, forensic analysis, security-event detection, incident investigation, configurable response rules, and supported containment functionality.

Capabilities vary by product version, configuration, integration mode, operating system, deployment environment, license entitlement, and supported runtime adapter. Not every feature is available in every environment. Documentation and product interfaces may identify additional limitations.

4. AI Security and Forensic Limitations

Tracendra is a security tool, not a guarantee against compromise, data loss, misuse, or operational disruption.

  • No security product can detect or prevent every attack.
  • AI systems can behave unpredictably, and detections may include false positives or false negatives.
  • Provider, model, integration, and attacker behavior may change after a detection method is developed.
  • Automated response rules can block traffic, interrupt AI sessions, stop model communication, quarantine related sessions, or affect local workloads and applications.
  • Customers control their response-rule configuration and must test high-impact actions before production use.
  • Tracendra cannot recall information already transmitted to a model provider, tool, network destination, or other recipient.
  • Tracendra cannot necessarily terminate unmanaged or unsupported workloads.
  • A termination attempt is not proof of termination unless the product reports verified termination for a supported managed workload.
  • Customers remain responsible for access controls, secure architecture, backups, monitoring, recovery, and incident-response planning.

Do not rely on Tracendra as your only security control. Forensic outputs assist investigation but may be incomplete, may require human interpretation, and should not be treated as conclusive legal evidence without appropriate validation.

5. Accounts

If account functionality is made available, you must provide accurate information, keep credentials confidential, and promptly notify Tracendra of suspected compromise. You are responsible for activity performed through your account or administrative access, except to the extent caused by Tracendra’s breach of these Terms or applicable law.

You may not share account credentials in a manner that defeats applicable license, security, or user limits. Tracendra may suspend access where reasonably necessary to investigate abuse, protect the Service, or address account compromise.

6. Software License

Subject to these Terms, the applicable order, and any separate written agreement, Tracendra grants Customer a limited, non-exclusive, non-transferable, revocable license to install and use downloadable Tracendra software within the scope permitted by Customer’s purchased or authorized license.

Tracendra and its licensors retain ownership of the software and related intellectual property. Customer receives usage rights, not ownership of Tracendra software or source code. License entitlements may include activation limits and may expire, be suspended, revoked, or deactivated according to the applicable subscription, license state, or material breach.

License keys, activation credentials, and entitlement secrets must not be publicly disclosed or shared outside the authorized scope. Third-party and open-source components remain subject to their respective licenses, and these Terms do not override those licenses.

The audited public website repository does not contain a Tracendra commercial EULA or product LICENSE file. Any separate product license supplied with downloadable software controls if it expressly conflicts with this section.

7. Restrictions

Except as separately authorized in writing, you may not:

  • redistribute, sublicense, resell, or commercially provide Tracendra software to third parties;
  • publish or share license keys, activation credentials, or administrative secrets;
  • bypass licensing, activation, entitlement, or security controls;
  • interfere with Tracendra infrastructure or attempt unauthorized access to customer or administrative systems;
  • extract another customer’s information or access data you are not authorized to access;
  • use the Service for malware distribution, unlawful attacks, fraud, or violations of applicable law;
  • use Tracendra to exploit third-party systems without authorization; or
  • reverse engineer, decompile, or disassemble the Service, except to the extent such restriction is prohibited by applicable law.

8. Authorized Security Testing

You may use Tracendra to conduct legitimate testing of systems you own or have explicit permission to test. You must define and respect the authorized scope. Using Tracendra or related services to attack, probe, disrupt, or access systems without authorization is prohibited.

9. Customer Data and Forensic Data

Customer Data means information Customer provides to or processes through the Service, including prompts, model responses, tool activity, event data, session information, alerts, forensic evidence, metadata, and configuration.

Customers retain ownership of Customer Data. Customer grants Tracendra a limited, non-exclusive right to process Customer Data only as reasonably necessary to provide, secure, maintain, and support the Service, as permitted by these Terms and the Privacy Policy.

This license does not grant Tracendra a general right to commercially exploit Customer forensic content. Data processed only inside a customer’s local deployment is not automatically treated as data received by Tracendra-operated infrastructure.

10. Sensitive Data

AI-agent monitoring may encounter credentials, API keys, personal information, proprietary source code, internal prompts, tool output, database information, and other sensitive material. Configure integrations, logging, redaction, access, and retention carefully.

Do not submit regulated or specially protected data unless you have confirmed that the Service, deployment, and applicable written agreement support that use. You are responsible for having the rights and permissions necessary to process Customer Data and for complying with your legal and contractual obligations.

11. Intellectual Property

Tracendra or its licensors own the Service, software, website, documentation, trademarks, logos, visual design, and proprietary technology. No rights are granted except those expressly stated in these Terms or a separate written agreement.

Customer ownership of Customer Data is separate. Third-party components and materials remain governed by their respective terms and licenses.

12. Feedback

If you voluntarily provide suggestions or product feedback, you grant Tracendra a non-exclusive, perpetual, worldwide, royalty-free right to use that feedback without obligation to you. Customer Data, forensic content, support attachments, and confidential information are not feedback merely because they are shared with Tracendra.

13. Third-Party Services

The Service may depend on or connect to third-party services selected by Tracendra or Customer, such as hosting infrastructure, customer-selected model providers, payment processing, or email delivery. Third-party services are governed by their own terms and privacy practices, and Tracendra does not control their availability or conduct.

The current public website uses device-local system fonts and has no analytics platform or advertising service. The separate Tracendra commercial service uses Stripe for hosted checkout and subscription processing. A Supabase account/billing foundation is under local/test-mode review and is not active in production. Its TEST authentication-email flow uses Twilio SendGrid with the Tracendra domain; production activation still requires a separate review of Supabase, SendGrid, secrets, security configuration, data flows, and legal readiness.

14. Payments

The Tracendra commercial service uses Stripe-hosted Checkout for paid subscriptions. Customers provide payment details directly on Stripe’s hosted page. Tracendra receives and retains limited customer, checkout, subscription, payment-status, price, cancellation, period-end, and event information needed to operate the subscription, but the audited commercial database does not store full payment-card details.

15. Subscriptions, Billing, and Renewal

If Customer purchases a paid subscription, charges, recurrence, taxes, renewal, cancellation, and entitlement effects will be described in the applicable order or checkout flow. Subscription or payment status may affect access to licensed capabilities. We will not apply an unpublished price, trial length, notice period, or refund period through these Terms.

The currently published self-service plan prices are Standard: $199 monthly or $1,990 annually; Pro: $299 monthly or $2,990 annually; and Team: $499 monthly or $4,990 annually. Annual plans are billed for the full annual amount. Enterprise pricing is provided through a separate sales discussion or written order. Taxes, if applicable, are additional and displayed by the checkout flow. A successful browser return from checkout does not grant product access; billing must be confirmed by Stripe’s signed webhook and product access remains subject to synchronization with Tracendra’s commercial license authority. Features expressly labeled planned or not yet enforced are not included product entitlements.

Payments are non-refundable except where required by applicable law or for a confirmed billing error. Approved refunds will be returned through the original payment method where practicable.

16. Early Access and Beta Features

Features labeled early access, preview, private beta, or pre-release may contain bugs, change, be removed, experience downtime, or be unsuitable for business-critical production use. Use appropriate safeguards and test environments. This section applies only while a feature carries a beta or pre-release designation.

17. Updates

Tracendra may update the Service to improve security, compatibility, reliability, or functionality. We do not guarantee perpetual compatibility with every operating system, model provider, API, runtime, or third-party integration.

18. Availability

The Service may occasionally be unavailable because of maintenance, updates, outages, third-party providers, security incidents, or circumstances outside reasonable control. No specific service-level agreement applies unless stated in a separate written SLA.

19. Security

Tracendra uses measures designed to protect systems and data, but no method is completely secure. You are responsible for protecting credentials, license keys, administrator access, deployment infrastructure, and recovery materials.

20. Suspension and Termination

Tracendra may suspend or terminate access for material violations of these Terms, nonpayment, fraud, licensing abuse, unlawful behavior, attacks against Tracendra, or a material security risk. Where practical, we will consider the scope and severity of the issue.

Suspension for billing or licensing reasons is not intended by itself to destroy existing forensic evidence. However, no indefinite retention period is promised, and data handling remains subject to the applicable deployment, retention settings, agreement, and law.

21. Customer Termination

You may stop using the Service. A subscription cancellation takes effect at the end of the current paid term, and access remains available through that term unless the Service is separately suspended or terminated under these Terms. To request cancellation while no self-service cancellation control is available, email Codinginlua1@gmail.com. Cancellation prevents the next renewal but does not create a refund for the current paid term except where required by law or for a confirmed billing error.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TRACENDRA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TRACENDRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, IDENTIFY EVERY THREAT, PREVENT EVERY ATTACK, CONTAIN EVERY COMPROMISED WORKLOAD, OR PRODUCE COMPLETE OR ERROR-FREE FORENSIC CONCLUSIONS. NOTHING IN THESE TERMS EXCLUDES RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

23. Limitation of Liability

To the maximum extent permitted by law, Tracendra will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, business, goodwill, or losses arising from security incidents or inability to use the Service.

To the maximum extent permitted by law, Tracendra is not liable for consequences resulting solely from Customer-selected automated response policies, including interrupted sessions, blocked model communication, quarantined workflows, or terminated local workloads.

To the maximum extent permitted by law, Tracendra’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of $100 or the fees Customer paid to Tracendra during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes, limits, or waives any liability, remedy, or right that applicable law does not permit the parties to exclude, limit, or waive.

24. Indemnification

To the maximum extent permitted by law, Customer will defend and indemnify Tracendra against third-party claims arising from Customer’s unlawful use of the Service, Customer Data that Customer lacked permission to process, infringement of third-party rights by Customer Data or instructions, unauthorized attacks, or Customer’s material breach of these Terms.

25. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws principles.

To the extent permitted by applicable law, any action or proceeding arising out of or relating to these Terms or the Service must be brought exclusively in a Massachusetts state court located in Bristol County, Massachusetts, or, if the dispute falls within federal subject-matter jurisdiction, in the United States District Court for the District of Massachusetts. Each party consents to the personal jurisdiction of those courts and waives any objection to venue in those courts, except to the extent applicable law does not permit that consent or waiver.

26. Dispute Process

These Terms do not require mandatory arbitration and do not impose a contractual class-action waiver. Unless the parties later agree otherwise in a separate signed writing, disputes will proceed through the courts identified in Section 25, subject to applicable law.

27. Export Controls and Sanctions

You must comply with applicable export-control, import, and economic-sanctions laws. You may not use, export, re-export, transfer, or provide the Service where prohibited by applicable law.

28. Changes to These Terms

Tracendra may update these Terms. The updated version will be posted with a revised effective date. We will communicate material changes in an appropriate manner and provide any notice required by applicable law or agreement.
